Terms of Service

1. Acceptance of Terms

These Terms of Service & Master Services Agreement ("Terms") govern access to and use of the Infinite Context (ICX) API, SDK, MCP servers, and related services operated by Calera Computing, Inc. ("Company", "we", "us") under the Calera Labs product brand. By creating an account, generating API keys, or invoking ICX API endpoints, you agree to be bound by these Terms.

2. License Grant & AI Agent Usage

Subject to compliance with these Terms and active subscription standing, Company grants you a worldwide, non-exclusive, non-transferable, revocable license to access the ICX API and connect autonomous agents, multi-agent frameworks, or developer tools. You agree to configure and supervise all automated agents in compliance with applicable laws, rate limits, and quota allocations.

3. Customer Data Ownership & Zero Training Guarantee

You retain 100% ownership and title in all document content, text streams, and custom memory structures ingested into your ICX memory spaces. Company assigns to you all rights in your specific generated outputs. Company will never use your memory space data or document archives to train public foundation models or share facts across tenants. Memory spaces remain strictly partitioned per tenant organization ID (X-CaleraLabs-OrgId).

4. Intellectual Property & Anti-Distillation Shield

Calera Computing, Inc. retains exclusive title to the Volumetric Lattice Network (VLN) substrate, algorithms, mathematics, software, trade secrets, trademarks, and patents pending listed at caleralabs.com/patents. You agree not to use ICX endpoints, tool calls, or memory projections to reverse-engineer, train, scrape, or distill competing volumetric lattice memory or geometric cognition architectures.

5. Subscription Billing, 1-Click Cancellation & Refunds

Paid subscriptions are processed securely via Stripe on recurring monthly or annual billing cycles. You may cancel your subscription at any time with 1 click in the Universal Dashboard (Billing Portal). Initial paid subscriptions are backed by a 7-day money-back satisfaction guarantee (support@caleralabs.com).

6. Bring-Your-Own-Key (BYOK) Responsibility

When using optional BYOK integrations with third-party LLM providers (such as Anthropic, OpenAI, or Google Gemini), your keys are encrypted at rest with Google Cloud KMS. You remain solely responsible for your third-party provider accounts, billing, and adherence to their respective terms.

7. Limitation of Liability & Master Terms

To the maximum extent permitted by applicable law, Calera Computing, Inc. shall not be liable for indirect, incidental, special, or consequential damages arising out of API usage. Product use is governed by Delaware law and the comprehensive platform terms published in the Calera Labs Terms of Service.
